Please read these terms carefully before using our services. They define the legal relationship between you (the "Client") and MuktoSource IT Solutions.

By accessing our website, purchasing our services, or engaging with our open-source repositories, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.
"MuktoSource" refers to MuktoSource IT Solutions, a registered entity in Bangladesh. "Client" refers to any individual or entity purchasing services from us.
2. Scope of Services
MuktoSource provides software development, system architecture, and IT consulting services ("Services"). The specific deliverables, timelines, and technical requirements for each project will be outlined in a separate Statement of Work (SOW) or Contract signed by both parties.
- We guarantee that all code delivered is tested and free of critical security vulnerabilities at the time of delivery.
- We do not guarantee compatibility with future third-party updates (e.g., PHP version changes, API deprecations) unless a maintenance contract is in place.
3. Intellectual Property Rights
Summary: You own the business logic we build for you. We may use generic tools we build during the process for our open-source mission.
3.1 Client Ownership (Work for Hire)
Upon full payment of all fees, MuktoSource assigns to the Client all right, title, and interest in the Custom Business Logic, design assets, and specific implementations created solely for the Client's project.
3.2 Open Source Components
MuktoSource utilizes and contributes to open-source software. Any generic libraries, frameworks, or reusable components developed by MuktoSource during the project that do not contain the Client's confidential business logic or proprietary data may be released as open source under licenses such as MIT or GNU GPL.
4. Payments & Refunds
Unless otherwise agreed in writing:
- Advance Payment: A 50% non-refundable deposit is required to commence work.
- Milestones: Remaining payments are due upon completion of agreed milestones.
- Late Fees: Invoices overdue by more than 15 days may incur a late fee of 5%.
- Refunds: Refunds are only issued if MuktoSource fails to deliver the scope of work as defined in the SOW. No refunds are issued for "change of mind" after work has commenced.
5. Limitation of Liability
To the maximum extent permitted by applicable law, MuktoSource shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the services;
- Any unauthorized access to or use of our secure servers and/or any personal information stored therein;
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our service by any third party.
6. Governing Law & Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration in Dhaka, Bangladesh.
